1 Agreement and business customers
These Terms of Service govern paid roofing takeoff services ordered from Nash Estimating LLC, doing business through RoofingTakeoffs.com ("Company," "we," "us," or "our"). "You" and "Client" mean the business purchasing the services. The individual accepting these Terms represents that they are at least 18 and authorized to bind that business. Services are offered for business and commercial purposes to businesses and roofing contractors, not for personal, family, or household use.
By checking the acceptance box at Stripe checkout and completing payment, you agree to these Terms, including the binding arbitration agreement in Section 17. You agree to conduct this order electronically and to receive order communications and deliverables by email. You may save or print these Terms. The version presented when you pay governs that order; later website changes do not amend an existing order.
These standard Terms cover U.S.-based business clients and projects located in the United States. Canadian clients or projects require a separate written agreement accepted by both parties before payment or work begins.
The confidentiality commitment in Section 10 also applies to information submitted for a free pricing review, whether or not you order or pay. We undertake that commitment upon receipt of your information; submitting plans for a quote does not by itself constitute your acceptance of the other provisions of these Terms.
2 Services and deliverables
We prepare human-prepared roofing quantity takeoffs from architectural drawings and plans you provide. We do not use satellite imagery. Unless your written quote expressly states otherwise, each paid takeoff package includes an Excel takeoff spreadsheet, a written scope, marked-up plans, and relevant specifications and notes drawn from the supplied project documents.
A free plan review is solely an evaluation to establish pricing and the proposed scope. It is not a completed takeoff, design review, or commitment to accept an order. No fee or purchase obligation arises from requesting that review.
Takeoffs are quantity estimating services. They are not architectural, engineering, surveying, inspection, construction management, or code-compliance services. They do not certify a design, establish structural adequacy, or replace a licensed professional or the authority having jurisdiction. Labor pricing, material pricing, procurement, site visits, and other services are excluded unless expressly included in a written quote.
3 Pricing payment and order acceptance
Single-family residential takeoffs are $95 per project. Commercial and multifamily projects are quoted individually. Any different scope or price must be disclosed and agreed before payment. Amounts are in U.S. dollars. Any applicable taxes will be disclosed at checkout. There are no subscription or automatic recurring charges under these Terms.
Payment is due in full upfront through our Stripe Payment Link. Work begins only after successful payment, receipt of complete plans, and our acceptance of the order. We confirm acceptance and the applicable delivery schedule by email. Payment does not require us to accept a project outside our services or capacity. If we decline a paid order, we refund the payment under Section 5.
Stripe processes payment information under its applicable terms and privacy practices. Your agreement with us is separate from your relationship with Stripe. Additional paid work requires your written approval of its scope and price; accepting these Terms does not authorize unspecified future charges.
4 Delivery and communications
Standard single-family residential delivery is within three business days after we accept the order and receive both complete, legible plans and full payment. Commercial and multifamily delivery times are stated in the quote. A business day is Monday through Friday, excluding U.S. federal holidays, using Eastern Time.
We deliver files or a download link to the email address you provide. You must provide accurate contact information, monitor your email, and promptly answer project questions. We do not offer customer accounts. Plans are submitted using our designated Dropbox file-request link or another method we expressly approve.
The delivery period pauses while we await missing plans, clarifications, access, or your decisions. Architect-issued updates or an agreed scope change may require a revised schedule, which we will communicate. We will promptly notify you of other material delays and provide an updated estimate. If we cannot complete the order, Section 5 applies.
5 Cancellations refunds and project credits
Customer cancellations and dissatisfaction. Except where these Terms or applicable law require a refund, payments are nonrefundable when you cancel an accepted order or are dissatisfied with services. Instead, upon your cancellation or written dissatisfaction claim, we issue a future-project credit equal to the amount paid for the affected order. A credit is an alternative to a refund, not an additional cash recovery. A correction request alone does not cancel your order or replace the correction process in Section 7.
Company cancellation or inability to perform. If we decline or cancel a paid order, or cannot complete the agreed services, we refund the amount paid for services not performed. If no usable agreed deliverable has been provided, we refund the full payment. We may retain an amount for a usable, separately identifiable portion only if you agree in writing to its value; otherwise, we refund the full order payment. We will not require you to accept credit instead of a refund in these circumstances.
Credit terms. A credit is issued to the original purchasing business, may be applied to one or more future takeoff orders, and expires three calendar months after its issue date, except where expiration is prohibited by applicable law. We will state the issue date, expiration date, and amount in writing. You must apply it to an accepted new order before expiration; the new project need not be delivered before that date. Any unused balance expires at the same time. Credits are not transferable, are not redeemable for cash except as required by law, and do not lock in future prices. No inactivity or maintenance fee applies.
Required refunds and payment errors. Nothing in these Terms limits a refund, payment-dispute right, or other remedy that cannot lawfully be waived. We correct duplicate or erroneous charges. Refunds are initiated to the original payment method within ten business days after the refund obligation is established; payment-provider processing may take additional time. No Stripe processing fee will be deducted from a refund we owe under this Section.
6 One included architect plan revision
Each paid takeoff includes one revision to address changed plans issued by the architect for the same building and original roofing takeoff scope. You must request the revision and submit the complete revised plans within six calendar months after our original delivery date. Identify the changed sheets, revision dates, and requested updates. The revised deliverable may be completed after that six-month period if your complete request was timely.
The included revision covers one consolidated set of architect-issued changes. A different building or structure, added building, substantial expansion beyond the original roofing scope, or additional revision rounds require a separate written quote and payment. We will identify any proposed additional charge before starting that work. We will confirm the revision delivery schedule by email; the original three-business-day schedule does not automatically apply to revisions.
7 Corrections of our errors
We will review a reported error or omission in our takeoff against the plan version and agreed scope used for the order. If we confirm that we made the error, we will correct the affected deliverables without an additional fee. Corrections of our own errors do not consume your included architect plan revision and are not subject to its six-month request window.
Notify us promptly after discovering an apparent error, identify the affected items, and provide the relevant plans and supporting information. We will investigate promptly and communicate a reasonable correction schedule. An architect change, inaccurate or incomplete source plan, undocumented site condition, or newly requested scope is not an error in our work. If we cannot provide a usable correction, the refund provisions of Section 5 apply to the affected services. This process does not shorten any applicable legal claim period or require you to delay urgent protective action.
8 Your project information and verification duties
You must provide complete, accurate, current, and legible architectural drawings, specifications, addenda, and other relevant project information, and identify the controlling plan version. You represent that you have the rights and authority necessary to provide those materials and permit their use to perform the services. Promptly notify us of new drawings or other changes. We are not responsible for undisclosed changes or information not supplied to us.
Quantities, measurements, and material lists are estimates derived from the supplied plans. They do not guarantee actual material usage, waste, cost, availability, or project performance. Before bidding, purchasing materials, or starting work, you must review the deliverables and independently verify dimensions, quantities, roof conditions, assemblies, applicable waste factors, manufacturer requirements, and local code requirements with appropriate project personnel. You remain responsible for bids, purchasing decisions, installation methods, and construction safety.
Differences between plans and actual site conditions may affect quantities and costs. Our responsibility for our own work remains subject to Sections 7 and 15; your verification duties do not eliminate our express correction commitment.
9 Performance of the work
Nash Estimating LLC remains responsible for the agreed services and deliverables. We restrict project access to personnel who need it to perform the services and who are subject to confidentiality obligations. We will not disclose your project materials to outside takeoff subcontractors without your prior written authorization. If authorized, those subcontractors must be bound by confidentiality and use restrictions at least as protective as Section 10.
10 Project confidentiality
Project information includes plans, drawings, specifications, renderings, project and client identities, locations, pricing, communications, and other nonpublic information supplied by you or generated for your project. Your materials remain the property of you or their respective owners.
We will keep project information confidential and use it only to evaluate and price your request, perform and support your order, maintain necessary business records, and protect legal rights, subject only to the limited marketing permission in Section 11. We will not sell it, disclose it publicly, or disclose it to unrelated third parties. This promise applies to free pricing reviews, declined or cancelled orders, paid services, and revisions, and continues after our relationship ends.
We may use necessary service providers to receive, store, transmit, and process information for these purposes, including Dropbox for project file transfer, email and storage providers for communications and delivery, and Stripe for payment-related information. Access and information shared must be limited to what is reasonably necessary. We do not send project drawings to Stripe to process your payment. Service-provider access is limited to providing the relevant service and is not permission to publish your project information.
We apply reasonable administrative and technical safeguards and restrict access. If disclosure is legally required, we may disclose only what is required and, when legally permitted, notify you beforehand and reasonably cooperate with protective measures. You may request return or deletion of project materials by email. We will comply within a reasonable time, except for records required by law or reasonably needed for an existing dispute and backup copies retained through ordinary backup cycles; retained materials remain protected. No online transmission or storage system can be guaranteed completely secure.
11 Limited use of anonymous marketing images
Subject to this Section, you permit us to use nonidentifying visual excerpts or renderings derived from project drawings in our portfolio, website, social media, and marketing, including Facebook posts. This permission applies only to paid orders for which you accepted these Terms. Materials submitted solely for a free pricing review are not authorized for marketing.
Before any public use, we must remove or obscure client and project names, logos, addresses, geographic coordinates, title blocks, drawing identifiers, contact details, signatures, pricing, metadata, and other identifying or sensitive information. We will not publish full plan sets or images that disclose proprietary technical details. Removing labels alone is insufficient: if the design, surroundings, or other context could reasonably identify the project or client, we must obtain your separate written permission before posting.
You retain your rights and do not grant rights belonging to an architect or other third party. We may publish an image only if the necessary copyright and other permissions for that marketing use have been verified; permission to share plans for estimating does not by itself establish marketing rights. If confidentiality restrictions or ownership rights prevent use, we will not publish it.
You may opt out by emailing us before or after ordering. On receiving your request, we will stop future marketing use and remove affected content from channels we control within a reasonable time. We cannot guarantee removal of copies or shares made by third parties, but will reasonably assist with removal requests. No client endorsement is implied.
12 Use of deliverables
Upon full payment, you receive a nonexclusive license to use the paid deliverables for the project identified in your order, including bidding, estimating, purchasing, and construction coordination. You may share them with your employees, the project owner, project professionals, subcontractors, and suppliers as needed for that project. Sharing does not create a separate professional duty or contract between us and the recipient.
You may not resell the deliverables as a separate product, publish them for general distribution, or reuse them for another project without our written permission. We retain our preexisting templates, methods, formulas, and tools; this does not give us ownership of your plans or broader rights to disclose project information.
13 Privacy and service communications
We use business contact information, order and payment records, project files, and communications to respond to inquiries, administer orders, deliver services, and maintain required records. Section 10 governs project confidentiality.
Acceptance of these Terms authorizes communications needed to handle your inquiry or order. It does not constitute consent to unrelated promotional emails or text messages. Privacy questions or requests may be sent to darren@roofingtakeoffs.com.
14 Service standard and warranty limitations
We will perform the agreed services with reasonable care and skill. Except for that commitment and the express promises in these Terms, and to the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and any guarantee of accuracy or completeness beyond that service standard. We do not guarantee a winning bid, a profit, a particular material quantity, or suitability of a design for construction. No disclaimer limits our express correction, refund, or confidentiality obligations or any right that applicable law does not permit us to disclaim.
15 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PAID ORDER, WHETHER IN CONTRACT, NEGLIGENCE, OR OTHERWISE, WILL NOT EXCEED THE TOTAL FEES YOU PAID FOR THAT ORDER. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, DELAY COSTS, OR CONSEQUENTIAL COSTS OF MATERIAL OVERAGES OR SHORTAGES, EVEN IF ADVISED THAT THEY MIGHT OCCUR.
These limitations do not apply to our fraud, willful misconduct, gross negligence, breach of Section 10 confidentiality obligations, or liability that applicable law does not permit us to limit. They do not excuse a refund we expressly owe or our duty to provide agreed corrections. This paid-order liability cap does not create a zero-dollar cap for a free pricing review.
16 Third party claims
To the extent permitted by law, you will indemnify us for third-party claims and resulting reasonable losses, damages, and legal expenses to the extent caused by your unauthorized provision of project materials, your material breach of these Terms, or your alteration or use of deliverables outside the authorized project and scope. This obligation does not apply to the extent a claim results from our negligence, misconduct, breach of these Terms, or marketing use for which we failed to obtain necessary rights.
We must promptly notify you of a claim, reasonably cooperate at your expense, and allow you to control its defense with reasonably acceptable counsel. No settlement may admit our fault, impose a nonmonetary obligation on us, or fail to release us fully without our written consent, which will not be unreasonably withheld.
17 Binding arbitration and governing law
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED COURT PROCEEDINGS DESCRIBED BELOW, YOU AND THE COMPANY AGREE TO RESOLVE DISPUTES BY BINDING ARBITRATION INSTEAD OF A LAWSUIT OR JURY TRIAL. JUDICIAL REVIEW OF AN ARBITRATION AWARD IS LIMITED.
Notice and informal resolution. Before initiating arbitration, either party must send written notice describing the dispute and requested relief to the other party. Notices to us go to darren@roofingtakeoffs.com; notices to you go to your order email address. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Either party may make a filing needed to preserve a legal deadline without waiting for that period to end.
Scope and procedure. Any dispute arising out of or relating to an order accepted under these Terms, the services for that order, or these Terms, including contract, tort, and statutory claims, will be resolved by one independent, impartial arbitrator. The parties will jointly select the arbitrator within 30 days after a written arbitration demand. If they cannot agree, either may ask a court with jurisdiction to appoint the arbitrator under applicable arbitration law. This is an ad hoc arbitration; no private arbitration administrator is required.
The legal seat of arbitration is Volusia County, Florida. Hearings will occur remotely by video unless both parties agree otherwise or the arbitrator determines an in-person hearing is necessary for a fair process. After hearing both parties, the arbitrator will establish a fair procedure proportionate to the amount and complexity of the dispute, allow reasonable exchange of relevant information, and permit each party to present evidence and arguments. A documents-only decision requires both parties' agreement. The arbitrator will issue a reasoned written award and may grant relief available under applicable law, subject to enforceable provisions of these Terms.
Costs. Arbitrator fees and shared proceeding expenses will initially be split equally unless applicable law requires another allocation or the arbitrator directs otherwise to preserve fair access. Each party bears its own attorneys' fees unless a statute or other applicable law authorizes an award. The arbitrator may allocate costs in the final award as permitted by law. If the agreed process cannot be conducted lawfully or fairly despite reasonable adjustment, a court may provide the remedy required by applicable law.
Applicable law and courts. The Federal Arbitration Act governs the arbitration agreement to the extent applicable; the Florida Arbitration Code applies to matters it governs that are not preempted. Florida substantive law governs these Terms, excluding its conflict-of-law rules, subject to mandatory applicable law. Notwithstanding any procedural ruling by the arbitrator, a court decides whether an arbitration agreement was formed and whether a dispute falls within it. Either party may seek temporary court relief needed to protect confidential information or preserve the effectiveness of arbitration, or seek to compel arbitration or confirm, enforce, or challenge an award as permitted by law. Such court proceedings must be brought in the state courts in Volusia County, Florida, or, if federal subject-matter jurisdiction exists, the U.S. District Court for the Middle District of Florida, Orlando Division. The parties consent to personal jurisdiction there. Judgment on an award may also be sought in another court with jurisdiction where necessary to enforce it.
This arbitration agreement survives completion, cancellation, and termination of the order. It does not purport to bind a person who submitted plans for a free quote but never accepted these Terms.
18 General terms and contact
These Terms and your accepted written quote or order description form the entire agreement for the order and replace prior discussions about that order. A quote controls only the project scope, price, and delivery schedule unless a different provision is expressly identified and agreed in writing by both parties. Client purchase-order terms do not amend this agreement unless we expressly accept them in writing. Other amendments require both parties' written agreement; email agreement is sufficient.
If a provision is unenforceable, it will be limited or severed to the extent permitted by law, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. Neither party is responsible for delay caused by events beyond its reasonable control, but must give prompt notice and make reasonable efforts to reduce the effect; this does not excuse payment already due, ongoing confidentiality, or refunds for services we cannot perform.
